These Terms of Service govern your use of q3media.co and any services provided by Q3 Media ("we," "us," or "our"). By submitting an inquiry, engaging our services, or using this website, you agree to these terms in full. If you do not agree, do not use our site or services.
01. SERVICES
Q3 Media is a performance creative agency that produces Music Video Ads, AI Clone Ads, UGC-Style Ads, and related short-form video creative for brands running paid media on platforms including Meta, TikTok, YouTube Shorts, and Instagram Reels.
The scope, format, pricing, and deliverables for each project are confirmed between Q3 Media and the client prior to production beginning. Nothing in a submitted form constitutes a binding agreement until scope has been mutually confirmed and payment terms have been established.
02. PRICING AND PAYMENT
All pricing displayed on our website and in our services menu represents starting ranges. Final pricing is confirmed based on project scope during our intake and alignment process.
- Payment terms are established and agreed upon before production begins
- Q3 Media does not offer refunds once production has commenced
- Revisions beyond the agreed scope may be subject to additional fees
- Late payments may result in paused production until the account is current
Prices are subject to change. Changes do not affect projects already confirmed and in production.
03. INTELLECTUAL PROPERTY
Upon receipt of full payment, Q3 Media grants the client a non-exclusive, perpetual license to use the delivered creative assets for paid and organic advertising purposes.
Q3 Media retains the right to use completed work in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing prior to project commencement.
All scripts, creative concepts, and production methodologies developed by Q3 Media remain the intellectual property of Q3 Media. The client receives a license to the final deliverables — not to the underlying systems, frameworks, or processes used to create them.
04. CLIENT RESPONSIBILITIES
To produce effective creative, we rely on accurate and complete information from the client. You agree to:
- Provide honest, accurate information in all intake forms and communications
- Ensure you have the rights to any assets, branding, or materials you provide to Q3 Media
- Review and respond to production milestones in a timely manner
- Ensure delivered creative complies with the advertising platform policies on which it will be run
Q3 Media is not responsible for ad account performance, platform policy violations, or advertising outcomes resulting from how delivered creative is deployed.
05. AI-GENERATED CONTENT
Some Q3 Media services, including AI Clone Ads, use artificial intelligence tools in the production process. By engaging these services, you confirm that:
- You have the legal right to use the likeness, voice, and identity provided for AI clone production
- The use of AI-generated content in your advertising complies with applicable platform policies and local laws
- You will disclose AI-generated content where required by applicable platform rules or regulations
Q3 Media is not liable for any platform enforcement actions or legal claims arising from the client's use of AI-generated creative.
06. REVISIONS AND APPROVALS
The number of revision rounds included in each project is confirmed at the time of scope alignment. Revision requests must be submitted within 7 days of delivery. After that window, delivered assets are considered approved and accepted.
Revision requests that represent a fundamental change in direction, format, or creative concept — rather than refinements of the approved direction — may be treated as a new project and priced accordingly.
07. CONFIDENTIALITY
Both parties agree to keep confidential any non-public business information shared during the course of the project. Q3 Media will not share client-specific strategy, intake details, or proprietary business information with third parties without consent.
08. LIMITATION OF LIABILITY
Q3 Media's liability in connection with any project or service is limited to the amount paid by the client for that specific project. We are not liable for indirect, incidental, or consequential damages including lost revenue, lost leads, or advertising performance outcomes.
We make no guarantees regarding advertising performance, conversion rates, return on ad spend, or any other performance metric. Creative quality and strategic approach are within our control. Ad account performance is not.
09. TERMINATION
Either party may terminate a project engagement with written notice. In the event of termination:
- The client is responsible for payment of all work completed up to the termination date
- Completed deliverables that have been paid for will be provided to the client
- Work in progress that has not been fully paid for remains the property of Q3 Media
10. GOVERNING LAW
These Terms of Service are governed by the laws of the State of Texas. Any disputes arising from these terms or our services will be resolved in the appropriate courts located in Texas, and both parties consent to jurisdiction in that venue.
11. CHANGES TO THESE TERMS
We reserve the right to update these Terms of Service at any time. The date at the top of this page reflects when the terms were last revised. Continued use of our site or services after changes are posted constitutes acceptance of the revised terms.
